Tax residency comes first
The company is only half the picture. In most cases, what determines where you pay tax is where you are personally tax resident. If you remain resident in Spain, your worldwide income is taxed there, wherever your company is.
That’s why any serious plan starts by analysing your personal residency and only then designs the company structure.
Where the company is managed matters as much as where it is registered
A company incorporated abroad can be considered tax resident in Spain if its effective management takes place in Spain. Registering a company in Dubai while running it from Madrid doesn’t change where it is taxed.
The structure has to match reality: where decisions are made, where the team is and where the business actually operates.
Cheap today can be expensive tomorrow
Choosing a structure only by its tax rate often ends in reassessments, penalties or a structure that has to be undone. What matters is a structure you can explain, with real substance, that holds up if the tax authority asks.
A good plan also looks ahead: what happens if you grow, bring in partners or decide to return.
